Terms of Service

1. Who these terms are between

These terms govern website design, development and maintenance services provided by Truvexa (Kolkata, India) to you, the client. A specific project is also governed by the written quote you approve; where the two disagree, the quote wins.

2. Quotes and scope

Every project starts with a written quote setting out a fixed price and a fixed scope. That price does not change once you have approved it. Work outside the agreed scope is quoted separately and only begins once you have approved that quote too.

Prices shown on this website are starting points, not offers. Your quote is the binding figure.

3. Payment

• 50% of the setup fee is due before design work begins.
• The remaining 50% is due once you have approved the design preview and before the site goes live.
• The monthly care fee is billed monthly in advance, starting from the launch date.
• An invoice is issued for every payment, in advance of that payment.

4. What you own

On final payment of the setup fee, all rights in the finished website — the code, the design as delivered, and the content — transfer to you. Your domain name is registered in your name and on your account throughout. We retain no lien over any of it.

We keep the right to describe the project and show screenshots of it as an example of our work, unless you ask us in writing not to.

5. What you provide

You provide the text, images, logos and business details needed to build the site, and you confirm that you have the right to use them. We are not liable for third-party claims arising from material you supply.

6. Revisions

Two rounds of design changes are included in every plan. Further rounds are quoted before they are carried out. If after two rounds the design is still not right, you may end the project and keep the design work produced so far; the deposit is not refunded, and no further payment is due.

7. Timelines

Estimated launch times assume your content has been supplied. The clock starts when we have what we need from you. We will tell you promptly if anything is likely to slip.

8. The care plan, and cancelling it

The monthly care plan covers hosting, SSL, uptime monitoring, daily backups, security updates, and reasonable content edits. It does not cover new pages, new features or redesigns, which are quoted separately.

You may cancel at any time with 30 days' notice, with no exit fee. On cancellation we provide a complete export of your website files and transfer any accounts held on your behalf. Care plan fees already paid for the current period are not refunded.

9. Third-party costs

Domain registration, hosting beyond what the care plan includes, paid plugins, stock imagery and payment gateway fees are passed through at cost and are your responsibility. We add no markup to any of them.

10. What we cannot promise

We do not guarantee any particular search ranking, traffic volume, or level of sales. What we guarantee is the technical groundwork described in your quote. Any provider promising you a specific Google position is not being straight with you.

11. Liability

Our total liability in connection with a project is limited to the fees you have paid us for that project in the preceding 12 months. We are not liable for indirect or consequential loss, including lost profits or lost business. Nothing in these terms limits liability that cannot lawfully be limited.

12. Ending the engagement

Either of us may end the engagement in writing. You pay for work completed up to that point; we hand over that work and the accounts associated with it.

13. Governing law

These terms are governed by the laws of India, and the courts of Kolkata have jurisdiction — unless a mandatory consumer protection law in your own country says otherwise, in which case that law applies.
